Microfactory, Inc. (dba FirstBuild) and its affiliates (collectively “Microfactory” or “We”) provide service and content (“Services”) on SourdoughSidekick.com (the “Website”) subject to the following Terms and Conditions (the “Terms”). These Terms of Service constitute a binding agreement between you and Microfactory governing your use of the Website and any/all content represented herein. By using and/or visiting the Website, you signify you understand and agree to these Terms. These Terms apply to all users of the Website, including users who contribute information, ideas, and other materials or services on the Website. Please read these Terms carefully. If you do not agree to these Terms, please do not use the Website.

The Website may contain links to third party websites that are not owned or controlled by Microfactory. Microfactory has no control over, and therefore assumes no responsibility for the content, privacy policies, or practices of any third party websites. By using the Website, you specifically release and indemnify Microfactory from any and all liability arising from your use of any third-party website.

Our Services are intended for visitors who are at least 18 years of age, or the age of majority in their jurisdiction of residence. We do not knowingly solicit information from, or market products or services to, children. If you do not meet the age requirements set out above, please do not enter your personal data on the Services.

Our third-party service providers, affiliated companies, and other companies having a business relationship with Microfactory (collectively “Business Partners”) may provide software, hosting, content, advertisements, and goods and service for sale or links to other websites for the Services.

We may periodically change these Terms, so please check back from time to time.

1. Proprietary Rights

Copyrights. Microfactory and its Business Partners reserve copyrights in all Services content, including but not limited to design, text, software, technical drawings, configurations, graphics, and other files and their selection and arrangement (the "Content"). The Content may not be modified, copied, distributed, framed, reproduced, republished, downloaded, displayed, posted, transmitted, or sold in any form or by any means, in whole or in part, without Microfactory’s prior written permission, except that you may download and print Content for uses that are not competitive with or derogatory to Microfactory or its Business Partners, provided that you keep all copyright or other proprietary notices intact and that you do not transfer any Content to any other person unless you give them notice of, and they agree to accept, the obligations arising under these Terms of Use. Please note that this limited consent may be revoked at any time and does not include consent to republish Content on any other Internet, Intranet or Extranet site or to incorporate Content in any other database or compilation. Any other use of the Content is strictly prohibited. You further agree that you will not systematically extract, collect or harvest, through electronic means or otherwise, any data or data fields from the Services, including but not limited to customer identities. If you believe that your copyrighted material has been improperly used on the Services, please contact Microfactory for more information.

Trademarks. Trademarks of Microfactory or its Business Partners may not be copied, imitated, or used, in whole or in part, without the prior written permission of Microfactory. All page headers, customer graphics, button icons, and scripts are services marks, trademarks and or/or trade dress of Microfactory and its Business Partners, and may not be copied, imitated, or used in whole or in part, without the prior written permission of Microfactory. Other trademarks, registered trademarks, product names or logos, and company names or logos displayed on the Services are the property of their respective owners.

Patents. Some of Microfactory’ products and processes and those of its Business Partners used on the Services may be covered by one or more patents and are subject to other trade secret and proprietary rights. Microfactory and its Business Partners reserve all such rights. You agree not to infringe upon such rights or decompile, reverse engineer, or disassemble any of the products or processes of Microfactory or its Business Partners.

2. Your Conduct while using the Services

In using the Services, you agree not to:

(a) disrupt or interfere with the security of, or otherwise abuse, the Services, or any system resources, accounts, servers or networks connected to or accessible through the Services or affiliated or linked sites;

(b) disrupt or interfere with any other user's enjoyment of the Services or affiliated or linked sites;

(c) upload, post or otherwise transmit through or on the Services any viruses or other harmful, disruptive or destructive files;

(d) use or attempt to use another's account, service or system without authorization from Microfactory or its Business Partner, or create or use a false identity on the Services;

(e) transmit through or on the Services any spam, chain letters, junk mail or any other type of unsolicited mass email to people or entities who have not agreed to be part of such mailings;

(f) attempt to obtain unauthorized access to the Services or portions of the Services that are restricted from general access;

(g) divulge your username or password to others either on or off the Services; or

(h) input, upload, post, or otherwise transmit through or on the Services any information that you don’t own or have a valid license to use or that otherwise violates any third-party intellectual property rights.

In addition, you agree that you are solely responsible for actions and communications undertaken or transmitted under your account, and that you will comply with all applicable local, state, national and international laws and regulations, including but not limited to United States export restrictions, that relate to your use of or activities on the Services. The Services are controlled and operated in the United States. If you are in a jurisdiction that restricts you from accessing or using the Services, do not access or use the Services.

3. Online Communities and other Interactive Areas

The Services may contain areas where you may post and share comments with other Services users on a variety of subjects. You agree that you will not post or otherwise disseminate on or through the Services unlawful, harassing, libelous, tortious, abusive, offensive, threatening or obscene communications or material of any kind, or materials which infringe or violate any third party's copyright, trademark, trade secret, privacy or other proprietary property right, or that could constitute a criminal offense, give rise to civil liability or otherwise violate any applicable law or regulation; or, that are otherwise objectionable, including without limitation, content that evidences bigotry, racism, sexism, or hatred or that promotes illegal activities or physical harm against anyone.

Microfactory and its Business Partners reserve the right, but do not have the obligation, to remove any materials they deem objectionable without any notice to you. You agree to hold harmless Microfactory and its Business Partners from all third-party claims based upon communications made, materials posted, or any other use you make of the Services. You also agree to hold harmless Microfactory and its Business Partners from all claims you make based upon communication made, materials posted, or use of the Services by any third party or parties.

4. Online Communications

Except as otherwise provided in our Privacy Statement you agree that any communications you transmit to anyone through the Services or copyrighted works you post on the Services, including, without limitation, questions, comments, suggestions, ideas, plans, notes, drawings, configurations, purchase orders, quotes, requests for quotes, performance data, account information, or other material, data or information (collectively, "Information"), are non-confidential and upon transmission of such information to Microfactory or its Business Partners by any means you grant to Microfactory and its Business Partners an irrevocable, non-exclusive, royalty-free, sublicensable, worldwide license (including but not limited to a copyright license) to use, reproduce, display, publicly perform, transmit and distribute such Information in any media for any purpose.

5. Privacy Statement and SMS Terms & Conditions

Microfactory’s Privacy Statement, incorporated by this reference, describes Microfactory’s privacy practices applicable to the Services. 

6. Product and Service Information

All content available through the Services, including but not limited to data, quotes, status reports, technical drawings, configurations, order information, and catalog listings is believed to be accurate. However, you should independently evaluate the accuracy of the information and the suitability for your particular needs of any product or service available through the Services. Specifications for products and services are subject to change without notice, and Microfactory and its Business Partners reserve the right to make changes to processing, materials or configuration without notice. They do not guarantee that products listed in online catalogs will be available at the time of your order. All information on the Services and outputs generated by Artificial Intelligence-enabled features is subject to the disclaimers of Section 9 below.

7. Links and Third-Party Integrations

Social Network Accounts. If you choose to link, login, or connect to our Services through a third-party online service, you direct that service to send us certain information about you that is controlled by that service, such as profile information. This sharing is subject to the applicable privacy terms and privacy settings of that service.  

Third-Party Integrations. The Services contain links to third-party services. We do not own or control those third parties. When you interact with these third parties and choose to use their services, your use is subject to the privacy terms of those providers.

8. Disclaimers

THE MATERIALS MAY CONTAIN INACCURACIES AND TYPOGRAPHICAL ERRORS. MICROFACTORY DOES NOT WARRANT THE ACCURACY OR COMPLETENESS OF THE MATERIALS OR THE RELIABILITY OF ANY ADVICE, OPINION, STATEMENT OR OTHER INFORMATION DISPLAYED OR DISTRIBUTED THROUGH THE SERVICES. YOU ACKNOWLEDGE THAT ANY RELIANCE ON ANY SUCH OPINION, ADVICE, STATEMENT, MEMORANDUM, OR INFORMATION SHALL BE AT YOUR SOLE RISK. MICROFACTORY RESERVES THE RIGHT, IN ITS SOLE DISCRETION, TO CORRECT ANY ERRORS OR OMISSIONS IN ANY PORTION OF THE SITE. MICROFACTORY MAY MAKE ANY OTHER CHANGES TO THE SERVICES, THE MATERIALS AND THE PRODUCTS, PROGRAMS, SERVICES OR PRICES (IF ANY) DESCRIBED IN THE SERVICES AT ANY TIME WITHOUT NOTICE.

THE SERVICES, THE INFORMATION AND MATERIALS ON THE SERVICES, AND THE SOFTWARE MADE AVAILABLE ON THE SERVICES, ARE PROVIDED "AS IS" WITHOUT ANY REPRESENTATION OR WARRANTY, EXPRESS OR IMPLIED, OF ANY KIND, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, NONINFRINGEMENT, OR FITNESS FOR ANY PARTICULAR PURPOSE.

YOU EXPRESSLY AGREE THAT USE OF THE SERVICES, INCLUDING ALL CONTENT, DATA OR SOFTWARE DISTRIBUTED BY, DOWNLOADED OR ACCESSED FROM OR THROUGH THE SERVICES, IS AT YOUR SOLE RISK. YOU UNDERSTAND AND AGREE THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR BUSINESS, YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF SUCH CONTENT, DATA AND/OR SOFTWARE.

YOU ACKNOWLEDGE THAT NEITHER MICROFACTORY NOR ITS BUSINESS PARTNERS CONTROLS IN ANY RESPECT ANY INFORMATION, PRODUCTS OR SERVICES OFFERED BY THIRD PARTIES THROUGH THE SERVICES. EXCEPT AS OTHERWISE AGREED IN WRITING, MICROFACTORY AND ITS BUSINESS PARTNERS ASSUME NO RESPONSIBILITY FOR AND MAKE NO WARRANTY OR REPRESENTATION AS TO THE ACCURACY, CURRENCY, COMPLETENESS, RELIABILITY OR USEFULNESS OF ANY ADVICE, OPINION, STATEMENT, OR OTHER CONTENT OR OF ANY PRODUCTS OR SERVICES DISTRIBUTED OR MADE AVAILABLE BY THIRD PARTIES THROUGH THE SERVICES. MICROFACTORY, AND ITS BUSINESS PARTNERS MAKE NO WARRANTY THAT THE SERVICES OR ITS CONTENT WILL MEET YOUR REQUIREMENTS, OR THAT THE SERVICES OR ITS CONTENT WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT DEFECTS, IF ANY, WILL BE CORRECTED, NOR DOES MICROFACTORY OR ITS BUSINESS PARTNERS MAKE ANY WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM USE OF THE SERVICES OR ITS CONTENT OR AS TO THE ACCURACY, COMPLETENESS OR RELIABILITY OF ANY INFORMATION (INCLUDING OUTPUT OF AI-ENABLED FEATURES) OBTAINED THROUGH USE OF THE SERVICES.

MICROFACTORY AND ITS BUSINESS PARTNERS ASSUME NO RESPONSIBILITY FOR ANY DAMAGES SUFFERED BY A USER, INCLUDING, BUT NOT LIMITED TO, LOSS OF DATA FROM DELAYS, NONDELIVERIES OF CONTENT OR EMAIL, ERRORS, SYSTEM DOWN TIME, MISDELIVERIES OF CONTENT OR EMAIL, INACCURACY OF OUTPUT OF AI-ENABLED FEATURES, NETWORK OR SYSTEM OUTAGES, FILE CORRUPTION, OR SERVICE INTERRUPTIONS CAUSED BY THE NEGLIGENCE OF MICROFACTORY OR ITS BUSINESS PARTNERS OR THEIR LICENSORS, OR A USER'S OWN ERRORS AND/OR OMISSIONS.

MICROFACTORY AND ITS BUSINESS PARTNERS DISCLAIM ANY WARRANTY OR REPRESENTATION THAT THE CONFIDENTIALITY OF INFORMATION TRANSMITTED THROUGH THE SERVICES WILL BE MAINTAINED.

SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF CERTAIN WARRANTIES OR CONDITIONS, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

9. Limitations of Liability

UNDER NO CIRCUMSTANCES, INCLUDING, WITHOUT LIMITATION, NEGLIGENCE, SHALL MICROFACTORY OR ITS BUSINESS PARTNERS, VENDORS BE LIABLE FOR ANY CLAIM BY ANY PARTY FOR DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES ARISING FROM OR IN CONNECTION WITH THE USE OF OR THE INABILITY TO USE THE SERVICES OR ANY CONTENT CONTAINED ON THE SERVICES, OR RESULTING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA, OR OTHER INFORMATION THAT IS SENT OR RECEIVED OR NOT SENT OR RECEIVED, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, USE, DATA OR OTHER INTANGIBLES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

10. Product Availability and Pricing

Orders are subject to product availability. We try to fulfill all orders, but sometimes an item described on the Services is not available. If that happens, we may need to cancel your order or contact you for follow-up. We reserve the right to discontinue the sale of any product or service at any time without notice. We may decline or place quantity limits on your order at any time.

In the event of a pricing or other error, we reserve the right to revoke offers, cancel orders and correct errors or omissions, including after an order has been placed. Our acknowledgement of an order means that your order request has been received, not that the price or availability of an item has been confirmed.

11. Purchases

If you wish to purchase products or services on the Website, you will be asked to supply certain information which may include credit card, gift card, or other form of payment and shipping information. You agree to pay all charges you incur (whether using your credit card or another payment mechanism) at the price(s) in effect when such charges are incurred.

We are required by law to collect all applicable sales taxes. You authorize us to charge the applicable sales taxes to your form of payment at the time of completion of order shipment.

For your security, the billing name and address on your credit card must match that of the information you submit. If the information provided does not match, your order may be delayed or cancelled. We may preauthorize your order amount with the issuer of your form of payment at the time you place the order, which may affect your available credit line.

Billing and registration information provided by you must be accurate, complete and correct. By confirming your purchase at the end of the checkout process, you agree to accept and pay for the products or services that you have ordered. Receiving an order acknowledgement does not guarantee the acceptance of an order.

12. Limitations on Purchases

We are not responsible for failure to fulfill orders due to causes beyond our control. We reserve the right at any time after receiving your order to: (1) limit order quantities to reasonable amounts (in our sole discretion); (2) prohibit purchases by retailers, distributors, or resellers; (3) discontinue or refuse to offer any product or service; (4) impose conditions on any discount, coupon or promotion; and/or (5) bar any user from completing a transaction. We may impose these limits on a per-person, per-household, per-order, or any other basis. If we reject, limit, or otherwise modify your order, we will attempt to notify you using the email address you provide to us. If we cancel an order or part of an order that we've already charged you for, we'll refund you the full amount of the canceled portion of the order.

13. Shipping & Delivery

Orders placed on the Website are shipped via FedEx/FedEx Ground. We do not offer shipping to Alaska, Hawaii, P.O. boxes, APOs, Canada, Puerto Rico, or U.S. Territories (ex. Virgin Islands or American Samoa) at this time. 

Orders placed on Saturday and Sunday will be processed on Monday. Please note we are unable to process orders on the following calendar days: 

  • New Year's Day
  • Memorial Day
  • Independence Day
  • Labor Day
  • Thanksgiving Day
  • Day after Thanksgiving
  • Christmas Eve
  • Christmas Day

 Any orders placed during this time will be processed on the next available business day.

14. Returns

You may return your Sourdough Sidekick for any reason within 30 days of the delivery and receive a refund less a 20% restocking fee.

To return or exchange a Sourdough Sidekick, please contact our customer service department at help@FirstBuild.com.

We will email you a shipping label that you may use to ship your Sourdough Sidekick back to our returns center. Take the item to the nearest FedEx drop off location. Once we receive the item, we will issue you a full refund on your original form of payment.

15. General

Applicable Law. These Terms and any disputes arising hereunder shall be governed by and construed in accordance with the laws of the State of Delaware, and the federal laws of the United States of America, without giving effect to conflict of laws provisions. Except as provided in the section of these Terms entitled Dispute Resolution, you agree to submit to the personal and exclusive jurisdiction of the state or federal courts located within the State of Kentucky for any disputes arising from or related to the Services or these Terms of Use.

English Language. You agree that there shall be no requirement to translate any of the Services, or any portion thereof or content thereon, into any other language than the one(s) in which they appear, and that all contractual and transactional communications shall be in the English language, and that there shall be no requirement to translate any communication into any other language.

Resale. Using the Services to purchase products or services for resale is prohibited.

Enforceability. Should any provision in these Terms of Use be found invalid or unenforceable for any reason, that provision shall be deemed severable from the other provisions and shall not affect the validity or enforceability of the remaining provisions. You agree that any claim arising out of or related to these Terms of Use or your use of the Services must be filed within one year after it arose or be permanently waived.

Dispute Resolution. All disputes arising hereunder, including any disputes involving third parties, shall be arbitrated, except for claims by Microfactory for breach of confidentiality. Unless otherwise specified or prohibited by law, the specific manner of arbitration shall be as follows: disputes with amounts in controversy under $3,500 shall be arbitrated by the Better Business Bureau in accordance with their rules and procedures. Disputes with amounts in controversy above $3,500 shall be referred to the Center for Public Resources in accordance with their rules and procedures. Each party shall bear its own costs and expenses. For purposes of claims brought by Microfactory or its Business Partners against you, such as for credit card misuse, dishonored checks, breaches of confidentiality, etc., you consent to jurisdiction in the Commonwealth of Kentucky.

16. International Usage

In addition, you agree that you are solely responsible for actions and communications undertaken or transmitted under your account, and that you will comply with all applicable local, state, national and international laws and regulations, including but not limited to United States export restrictions, that relate to your use of or activities on the Services. The Services are controlled and operated in the United States.

IF YOU ARE ACCESSING THE SERVICES FROM OUTSIDE THE UNITED STATES AND ARE RESTRICTED UNDER THE LAW OF YOUR JURISDICTION FROM DOING SO, DO NOT ACCESS OR USE THE SERVICES. MICROFACTORY MAKES NO REPRESENTATION THAT THE SERVICES ARE APPROPRIATE OR AVAILABLE FOR USE OUTSIDE THE UNITED STATES.

17. Your Account

You may view parts of the Website without registering, but in order to access and use all parts of the Website, you will be required to register an account with us. You are not allowed to use another user’s account without permission. When creating your account, you must provide accurate and complete information. You are solely responsible for the activity that occurs on your account, and you must keep your account password secure. You may change your password at any time by updating your Account Profile (or My Account) page. In addition, you agree to immediately notify Microfactory of any unauthorized use of your password or account or any other breach of security. Microfactory cannot and will not be liable for any loss or damage arising from your failure to comply with this Section.

By registering with the Website, you represent that you are of legal age to form a binding contract and are not a person barred by any laws from using the Microfactory’s Website. You agree to provide true, accurate, current and complete information about yourself in all required fields of the registration form. If any of your information changes, you agree to update your registration information as soon as possible. If Microfactory suspects that your registration information is not complete, current, or accurate, or that you have otherwise violated these Terms, your account may be subject to suspension or termination, and you may be barred from using the Website.
